Terms and
Conditions of Kyra Therapy Inc.'s Referral Program Agreement
This Agreement is binding to all representatives participating
in Kyra Therapy's Inc.'s (KYRA) Referral Program for the Herbal
Care Direct (HCD) line of products. By signing-up to
this program you automatically agree to all of the following
terms and conditions. Participants in this program
are awarded the non-exclusive right to display unmodified trademarks
associated with Herbal Care Direct (HCD) products, textual content,
logos, HCD ads, HCD product pictures and product names, provided
that the elements posted are retrieved from the Herbal Care
Direct website and are not altered in any way. KYRA may cancel
any representative's account at any time at their sole discretion.
Representatives participating in this program can earn referral
fees on the purchases completed by customers they have referred
to HCD products, and the awarding of said 20% direct
referral fees and, as detailed in this agreement, are always
subject to the sole discretion of KYRA. KYRA agrees
to forward all referral fees earned for any given month's sales
15 days after the closing of that month's sales. Individuals
will have their referral fees paid by check via standard mail.
KYRA agrees to forward referral fee checks free of delivery
charges to any residence or place of business within the Continental
United States or Canada.
KYRA has the sole discretion to decide which representative
will get credited with which purchase. The representative
that is deemed by KYRA to be the referring representative will
get full credit for the purchase. Once a customer has
been designated as a referral customer by a representative,
that representative will receive referral fees of 20% for all
of that customer's individual purchases, including their first
purchase and product purchases in the future, provided the said
referral customer has not joined the HCD program. Any individual
that joins the HCD program after becoming a referral customer
will sever any previous referral relationship established in
the past, and commissions will not be awarded in the future
for the original referring representative. KYRA solely determines
the status of any customer or purchase. Anyone that has ordered
products in the past from KYRA cannot be considered a referred
customer, if a customer has a purchasing history with KYRA they
cannot become a referral client. Anyone who has ordered from
KYRA in the past is allowed into the program, however ,this
representative's personal purchases in the past
cannot be counted towards their referred sales. However, all
subsequent personal purchases or referred sales after the date
of their joining the program will be eligible.
Any representative that attempts to open multiple
representative accounts will have all their accounts cancelled
immediately without notice and any possible referral fees
will be cancelled. Any representative deemed to have
participated in fraudulent or illegal activity, including
but not limited to unfair business practices will be barred
from participation in this program in perpetuity and all possible
referral fees will be cancelled. Any
representative that engages in email spamming will result
in their permanent removal from the program.
Any representative that does not provide a valid address,
telephone number, or email address will have their account
cancelled immediately without notice and any possible referral
fees will be cancelled. Any representative that provides a
P.O. box as an address may have their account cancelled without
notice, you must provide a valid street address (your residence
or business address). If you cannot receive regular mail service
without specifying a PO box address you can notify HCD by
email to request that your checks be sent to another address.
HCD may rule that referral fees will be deducted from a representative's
commissions at their sole discretion, this includes but is not
limited to: unauthorized credit card transactions, fraudulent
credit card transactions, orders that have been cancelled by
the purchaser, products that have been returned by the purchaser
for refund. Referral fees for each individual
purchase are paid once only, with the one-time referral fee
payment (20%) to be made to the referring representative. Representatives
do not earn recurring referral fees on any
single purchase. Representatives only earn one-time referral
fees on the referral customer's
individual purchases.
Kyra Therapy Inc. may modify any of the terms and conditions
contained in this agreement, at any time and under our sole
discretion, by posting a policy change notice on our website.
This may include but is not limited to: changes to representative
referral fee rates, changes in product prices, changes in shipping
rates and changes in products offered.
Any customer that purchases HCD products are deemed
to be the customers of Kyra Therapy Inc. If any changes to the
terms of this agreement are posted on this web page and are
considered unacceptable to you, your only recourse is to cancel
your participation in this program, which will terminate this
agreement. If you continue to participate in this program after
policy changes have been posted on this web page, you are bound
to the new terms of the posted agreement.
All trademarks are the property of Kyra Therapy Inc. and may
only be displayed in the forms specified in this agreement.
By signing up to our representative program you automatically
agree to all terms of this agreement. All participants in this
program acknowledge that they are not employees of Kyra Therapy.
Any representative may cancel their participation in
HCD's referral program at any time. Representatives may not
transfer or sell their membership or their referral clients
to any other individual or company. HCD agrees to hold private
and confidential all personal information provided to HCD by
HCD representatives and HCD customers as specified by this agreement.
HCD reserves the right to cancel any representative's referral
account at their sole discretion.
